overseas firm

(1) (in relation to MAR 5 and MAR 5A ) a firm which has its registered office (or, if it has no registered office, its head office) outside the United Kingdom.

(2) (in any other case) a firm which has its registered office (or, if it has no registered office, its head office) outside the United Kingdom.
