(in PRIN, and COBS 19.5) an arrangement between a firm and a third party under which the third party establishes a committee to represent the interests of:

1. (a) relevant policyholders in the firm's relevant scheme; or
1. (b) retail clients investing in a pathway investment offered by the firm.
