director

(1) (except in COLL, DTR, UKLR, PRM, MAR 5-A and DISC TP 1) (in relation to any of the following (whether constituted in the United Kingdom or under the law of a country or territory outside it)):
1. (a) an unincorporated association;
2. (b) a body corporate;
3. (c) (in SYSC, APER, COCON, MIPRU 2 (Responsibility for insurance distribution and MCD credit intermediation activity ), SUP 10A (FCA Approved persons in Appointed Representatives ) and SUP 10C (FCA senior managers regime for approved persons in SMCR firms ) a partnership;
4. (d) (in SYSC, SUP 10A (FCA Approved persons in Appointed Representatives ) and SUP 10C (FCA senior managers regime for approved persons in SMCR firms) a sole trader;
5. any person appointed to direct its affairs, including a person who is a member of its governing body and (in accordance with section 417(1) of the Act):
  1. (i) a person occupying in relation to it the position of a director (by whatever name called); and
  2. (ii) a person in accordance with whose directions or instructions (not being advice given in a professional capacity) the directors of that body are accustomed to act.
6. (2) (in COLL and DISC TP 1) a director of an ICVC, including (in accordance with regulation 2(1) of the OEIC Regulations) a person occupying in relation to the ICVC the position of director, by whatever name called.
7. (3) (in DTR, UKLR, PRM and MAR 5-A) (in accordance with section 417(1)(a) of the Act) in relation to an issuer which is a body corporate, a person occupying in relation to it the position of a director (by whatever name called) and, in relation to an issuer which is not a body corporate, a person with corresponding powers and duties.
